Welcome to Minopa. By using our service, you agree to these terms. Please read them carefully.
Welcome to Minopa. These Terms and Conditions ("Terms") govern your access to and use of the Minopa platform, website (https://minopa.com), and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
Please read these Terms carefully before using the Service.
1. Definitions
- "Minopa," "we," "us," or "our" refers to the operator of the Minopa platform.
- "User," "you," or "your" refers to any individual or entity that accesses or uses the Service.
- "Platform" refers to the Minopa web application, API, and associated tools.
- "Content" refers to text, images, videos, and other materials you create, upload, or publish through the Service.
- "Social Accounts" refers to third-party social media accounts you connect to the Platform.
- "Workspace" refers to an organizational unit within the Platform where team members collaborate.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that:
- You are at least 18 years of age or the age of majority in your jurisdiction.
- You have the legal authority to enter into these Terms.
- If acting on behalf of an organization, you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must create an account. You can register using your email address and password, or sign in with Google OAuth. You agree to provide accurate and complete information during registration and to verify your email address when required.
3.2 Account Security
You are responsible for:
- Maintaining the security of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
3.3 Account Termination
We reserve the right to suspend or terminate your account if:
- You violate these Terms.
- Your account is used for fraudulent or illegal activities.
- You fail to comply with applicable laws or third-party platform policies.
4. Description of Service
Minopa is a social media management and automation platform that provides:
- Content Creation and Scheduling: Create, draft, schedule, and publish posts across multiple social media platforms.
- Multi-Platform Publishing: Connect and manage accounts on Instagram, Facebook Pages, LinkedIn, X (Twitter), Threads, TikTok, Pinterest, and YouTube.
- Analytics and Insights: View performance data and analytics for your social media content.
- Team Collaboration: Invite team members to Workspaces with role-based access and approval workflows.
- Design & Storage Integration: Import files from connected design and storage platforms (e.g., Canva, Google Drive) and use them as media in your social media content.
- Media Management: Upload, store, and manage images and media for social media content.
5. Social Media Platform Integrations
5.1 Supported Platforms
The Service integrates with the following third-party platforms:
Social Media Platforms
- Instagram (via Meta/Facebook API)
- Facebook Pages (via Meta/Facebook API)
- LinkedIn (via LinkedIn API)
- X (Twitter) (via X/Twitter API)
- Threads (via Meta/Threads API)
- TikTok (via TikTok API)
- Pinterest (via Pinterest API)
- YouTube (via YouTube Data API)
Design & Storage Platforms
- Canva (via Canva API) — browse, export, and import your Canva designs as media files
- Google Drive (via Google Drive API) — browse and import files from your Google Drive
5.2 Third-Party Platform Terms
When you connect your Social Accounts, you must also comply with the terms of service and policies of each respective platform, including but not limited to:
- Meta Platform Terms (Instagram, Facebook, Threads)
- LinkedIn User Agreement
- X Terms of Service
- TikTok Terms of Service
- Pinterest Terms of Service
- YouTube Terms of Service
- Canva Terms of Use
- Google Terms of Service
5.3 Authorization and Access
By connecting your Social Accounts, design platform, or storage platform accounts, you:
- Authorize Minopa to access and read your account data and content on the connected platform.
- For social media platforms: authorize Minopa to publish content on your behalf and acknowledge that Minopa acts as your authorized agent when posting content.
- For design and storage platforms (e.g., Canva, Google Drive): authorize Minopa to browse your files and import them as media files to your Workspace media library.
- Understand that you can revoke access at any time through your account settings or the respective platform's settings.
5.4 Platform Limitations
- We do not guarantee uninterrupted access to third-party platforms. API changes, rate limits, or policy changes by third-party platforms may affect Service functionality.
- We are not responsible for content that is rejected, removed, or restricted by third-party platforms.
- Scheduled posts may fail due to third-party platform outages, API changes, or expired authentication tokens.
6. User Content
6.1 Ownership
You retain all ownership rights to Content you create or upload through the Service. Minopa does not claim ownership of your Content.
6.2 License to Minopa
By using the Service, you grant Minopa a limited, non-exclusive, royalty-free license to:
- Store, process, and display your Content within the Platform.
- Transmit your Content to third-party platforms as directed by you (e.g., publishing scheduled posts).
- Create backups of your Content for service reliability purposes.
This license terminates when you delete your Content or close your account.
6.3 Content Responsibility
You are solely responsible for:
- The legality, accuracy, and appropriateness of all Content you create or publish.
- Ensuring your Content does not infringe on any third-party intellectual property rights.
- Compliance with all applicable laws and platform-specific content policies.
6.4 Prohibited Content
You agree not to create, upload, or publish Content that:
- Is unlawful, harmful, threatening, abusive, defamatory, or obscene.
- Infringes on intellectual property rights of others.
- Contains malware, viruses, or harmful code.
- Constitutes spam, unsolicited advertising, or deceptive practices.
- Violates any applicable laws or regulations.
- Violates the terms of connected third-party platforms.
7. Subscription Plans and Billing
7.1 Plans
The Service offers various subscription plans with different features and limits, including but not limited to:
- Number of connected Social Accounts.
- Number of Workspaces.
- Number of team members.
- Number of scheduled posts.
- Storage capacity.
- AI credits per month.
Plan details, features, and pricing are available on the Platform's pricing page and may change from time to time (see Section 7.9).
7.2 Payment Processing
- All payments are processed securely through Stripe, our third-party payment processor.
- By subscribing to a paid plan, you agree to Stripe's Terms of Service and Privacy Policy.
- You authorize Minopa and Stripe to charge the payment method you provide for recurring subscription fees.
7.3 Free Trial
- First-time subscribers to any paid plan receive a one-time 14-day free trial.
- The free trial is available once per account. If you cancel and re-subscribe, you will not receive another trial period.
- During the trial, you must provide a valid payment method (credit/debit card via Stripe), but you will not be charged during the trial period.
- You may cancel at any time during the trial period and you will not be charged.
- If you do not cancel before the trial period ends, your subscription will automatically begin and you will be charged the applicable subscription fee.
7.4 Billing Cycle
- Subscriptions are billed on a recurring basis (monthly or annually) depending on the plan you select.
- Billing begins automatically at the end of the free trial period.
- Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
7.5 Plan Upgrades
- You may upgrade to a higher-tier plan at any time.
- Upgrades take effect immediately. You will gain instant access to the features and limits of the new plan.
- A prorated charge will be applied for the remainder of your current billing period. This charge reflects the price difference between your current plan and the new plan for the remaining days in the billing cycle.
- The prorated amount will be charged to your payment method on file.
7.6 Plan Downgrades
- You may downgrade to a lower-tier plan at any time.
- Downgrades take effect at the end of your current billing period. You will retain full access to your current plan's features and limits until that date.
- No partial refunds or prorated credits are issued for downgrades. Any credit resulting from proration adjustments will be stored as an account credit balance and automatically applied to your next invoice.
- Account credit balances are non-refundable and non-transferable.
7.7 Cancellation
- You may cancel your subscription at any time through your account settings or the Stripe customer portal.
- Upon cancellation, your subscription remains active until the end of the current billing period. You will retain full access to all paid features until that date.
- After the current billing period ends, your account will revert to the free plan.
- You may reactivate a canceled subscription before the end of the current billing period to continue your plan without interruption.
7.8 No Refunds
- All payments are final and non-refundable. Once you are charged after the trial period, no refunds will be issued.
- We encourage you to make full use of the 14-day free trial to evaluate the Service before committing to a paid plan.
- If you cancel or downgrade your subscription, you will continue to have access to all paid features of your current plan until the end of your current billing period, but no monetary refund will be provided.
- Any account credit balance resulting from proration adjustments is applied to future invoices only and cannot be redeemed for cash.
7.9 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8. Intellectual Property
8.1 Minopa Intellectual Property
The Service, including its design, features, code, documentation, trademarks, and branding, is the property of Minopa and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
8.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Minopa a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.
9. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems.
- Interfere with or disrupt the Service, servers, or networks.
- Use automated means (bots, scrapers) to access the Service except through our official API.
- Resell, sublicense, or redistribute the Service without our written consent.
- Circumvent any rate limits, usage restrictions, or security measures.
- Use the Service to send spam or unsolicited messages through connected platforms.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
10. Availability and Modifications
10.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of significant changes.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Minopa is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or secure.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim arising from the Service shall not exceed the amount you paid to Minopa in the 12 months preceding the claim.
- We are not responsible for any losses resulting from:
- Failed or delayed social media posts.
- Third-party platform changes, outages, or policy enforcement.
- Unauthorized access to your account due to your failure to maintain account security.
- Content removed or restricted by third-party platforms.
12. Indemnification
You agree to indemnify, defend, and hold harmless Minopa, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
- Your use of the Service.
- Your Content.
- Your violation of these Terms.
- Your violation of any third-party rights or applicable laws.
13. Email Communications
13.1 Service Emails
By creating an account, you agree to receive service-related emails, including account verification, security alerts, billing notifications, and scheduled post status updates. These emails are necessary for the operation of the Service and cannot be opted out of while your account is active.
13.2 Newsletter and Marketing Emails
By creating an account, you agree to receive newsletter and marketing emails about product updates, new features, tips, and blog content. You can opt out at any time through Settings → Email Preferences in your account or by using the unsubscribe link in any email.
14. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
15. Third-Party Services
The Service integrates with and relies on third-party services including:

We are not responsible for the practices, policies, or availability of these third-party services. Your use of these services is subject to their respective terms and privacy policies.
16. Termination
16.1 Termination by You
You may request account deletion at any time through your account settings. Upon requesting deletion:
- If you have an active paid subscription, your account enters a "pending deletion" state. You can continue using the Platform until your subscription period ends. Your subscription is cancelled at the end of the current billing period with no refund.
- If you do not have an active paid plan, your account is suspended immediately and you will no longer be able to log in.
- After a cooling-off period (minimum 30 days or until your subscription period ends, whichever is later), your account and all associated data — including Workspaces you own, posts, uploaded media, integration connections, and usage records — are permanently deleted.
- OAuth tokens for connected platforms are revoked where supported (X, TikTok, Canva, Google Drive); tokens for other platforms expire naturally. Content already published to third-party platforms is not removed.
- You may request reactivation by contacting support before the permanent deletion date.
16.2 Termination by Minopa
We may terminate or suspend your account immediately, without prior notice, if:
- You breach these Terms.
- We are required to do so by law.
- We discontinue the Service.
16.3 Effect of Termination
Upon termination:
- All licenses granted to you under these Terms will cease.
- You must stop using the Service.
- Sections that by their nature should survive termination (such as Limitation of Liability, Indemnification, and Intellectual Property) will survive.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, through the competent courts of Köln (Cologne), Germany.
18. Changes to These Terms
We may update these Terms from time to time. When we make changes:
- We will update the "Last Updated" date at the top.
- For material changes, we will notify you via email or through the Platform.
- Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
- If you do not agree with updated Terms, you must stop using the Service. You may cancel your subscription before the next billing cycle.
19. Miscellaneous
19.1 Entire Agreement
These Terms, along with the Privacy Policy and any other legal documents referenced herein, constitute the entire agreement between you and Minopa.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
19.3 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
19.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. Minopa may assign its rights and obligations without restriction.
